Terms & Conditions

This page sets out the Terms & Conditions governing product purchases, made-to-order/contract production, and OEM plant propagation services, including payment terms, shipping, inspection/claims, reusable packaging (glass bottle program where applicable), liability limitations, and dispute resolution.

1. Acceptance

By confirming an order/production order or signing/accepting related documents (e.g., quotation, production order, invoice, written order confirmation), the Buyer is deemed to have read, understood, and accepted these Terms & Conditions.

2. Definitions

  • “Company” means [Company Name]

  • “Buyer/Customer” means the purchaser/ordering party

  • “Products” include plantlets/tissue culture plants and/or other items stated in the quotation

  • “Documents” include quotation, production order, invoice, tax invoice, airway bill/waybill, export documents, Phytosanitary Certificate (Phyto), Certificate of Origin (C/O), Import Permit, and any documents required by authorities/destination

  • “Sterilization” means preparation of mother stock/plant parts to enter aseptic tissue culture processes

3. Made-to-Order / Contract Production

Orders are custom-made and, as a general rule, cannot be cancelled, amended, or transferred unless the Company agrees in writing.

4. OEM Plant Propagation

  • The Buyer provides mother stock/plant materials to initiate the process.

  • The Buyer acknowledges that sterilization is inherently risky and outcomes depend on plant variety, material condition, contamination risks, age, and biological factors.

  • The Company reserves the right to decline certain varieties/materials deemed unsuitable or excessively high-risk.

5. Production Start & Minimum Lot

  • Production starts after (i) valid order confirmation/production order, and (ii) deposit payment is received.

  • Minimum lot per batch: [e.g., 500 plants/batch] or as stated in the quotation/production order.

6. Pricing, Currency & FX

Prices follow the quotation/production order. If quoted in a foreign currency, the payable amount is calculated at the exchange rate on the actual payment date, and the Buyer bears FX fluctuation risk.

7. Payment

  • Deposit: generally not less than 50%.

  • Balance: due when shipping/export documents are prepared and must be paid before dispatch.

  • Late payment may postpone delivery or suspend shipment until full payment is received.

8. Shipping (Summary)

  • Domestic Thailand: shipped via appropriate couriers/logistics providers.

  • International: shipped via agreed methods (e.g., air cargo/logistics) and may be offered as Flat Rate Shipping in the quotation.

  • Flat Rate generally excludes destination import taxes (VAT/GST), destination fees, brokerage/clearance fees, and other destination charges (borne by consignee/Buyer).

  • Buyer is responsible for providing a valid Import Permit and destination-required documents prior to shipment.

9. Inspection, Claims & Returns

  • Buyer should inspect upon receipt.

  • Claim window: within 2 days from “Delivered” tracking status.

  • Evidence required: continuous unboxing video (no edits/interruptions) plus photos and order details.

  • If approved, the Company will dispatch replacement within [e.g., 7 business days].

  • No Refund Policy: replacement only, unless explicitly agreed in writing.

  • The Company is not liable after plantlets are removed from containers for planting/acclimatization.

10. Reusable Packaging / Glass Bottle Program (if applicable)

If the Buyer receives special pricing under a reusable packaging program, the Buyer agrees to return containers per the agreed quantity/conditions. Return shipping costs are borne by the Buyer unless otherwise agreed in writing.

11. Limitation of Liability

The Company is not responsible for force majeure and events outside its control, including carrier delays/damage, customs/authority delays, or destination-side clearance issues.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand. If amicable settlement fails, disputes shall be submitted to the competent courts in Thailand.
